ISO 14001 certification acquired

The Company passed an assessment by the ISO screening and registration body for environmental standard ISO 14001:1996 on February 25, 2004, and received permission to register with the JAB (Japan Accreditation Board for Conformity Assessment).

Subsidiary Fujimatsu Company Co., Ltd. acquired sub-subsidiary Tamatsu Co., Ltd. to accelerate sales efficiency.

Pla Matels (Shanghai) Co., Ltd. increases capital

Pla Matels (Shanghai) Co., Ltd., a subsidiary in Shanghai, increased capital from US$200,000 to US$500,000, to enable more aggressive business expansion in eastern China.

Capital increased to 793.05 million yen

Outstanding stock increased by 1.15 million shares to 8.55 million shares, and capital to 793.05 million yen, as we carried out a public offering capital increase (1.0 million shares) in October 2003, and a third-party allocation of shares (150,000) from over allotment.

Pla Matels (Hong Kong) Co., Ltd., a subsidiary in Hong Kong, increased capital from HK$800,000, to HK$2,000,000, as part of an overarching strategy to strengthen overseas branches.

Public offering capital increase

The Board of Directors resolved on September 19th to:

1. Issue 1.0 million shares through a public offering capital increase
2. Publicly offer 150,000 shares from an over allotment
3. Issue 150,000 new shares through a third-party allocation

The Company publicly announced these resolutions in the September 20th edition of the NIhon Keizai Shimbun. Conditions, including issue price, will be determined in the period from September 30th to October 3rd. Funds procured through the capital increase will be used primarily for investment and loan purposes at subsidiaries.

Business transfer, and establishment of overseas branches

The Company take over the sales business of Asahi Plastics Co., Ltd. on January 1, 2003, established a Singapore branch in February 2003, a representative sales office in the Philippines in March 2003, and Pla Matels (Hong Kong) Co., Ltd. in January 2003. Also, the Company made its representative sales office in Shanghai a subsidiary, Pla Matels (Shanghai) Co., Ltd., in April 2003. In this way, the Company established sales branches in five Asian countries: the Philippines, Singapore, Shanghai, Hong Kong, and Bangkok.

Acquired ISO certification

The Company's Tokyo Sales Division 1 and Nagoya branch office passed an assessment by the ISO screening and registration body for environmental standard ISO 9001:2000 on February 24, 2003, and received permission to register with the JAB (Japan Accreditation Board for Conformity Assessment).

Business acquisition

The Company concluded a contract on December 4, 2002 to acquire a portion of Asahi Plastics Co., Ltd.'s sales business (plastic product sales) effective January 1, 2003. The acquisition fits perfectly with the Company's overseas expansion strategy as Asahi Plastics has operations in China and Southeast Asia.

Established new company in China

The Company acquired operating permission in early August 2002 from the local Chinese government to establish a subsidiary that processes various plastics and compounds in Dalian. Production is scheduled to begin in April 2003, and capacity will be raised from 6,000 ton per annum (tpa) to 10,000tpa, in five years. This marks the Company's first plastics production base in China.

Established representative sales office in China

The Company established a representative sales office in Shanghai, China, in April 2002. The office will begin marketing activities in mid-May, and the Company will consider making the office a subsidiary in the future. The sales office enables the more rapid supply of raw materials and information to Japanese manufacturers in China, and supports the new entry of other Japanese manufacturers to China.

Recycling efforts

Saisei Ltd., a company that recycles and reuses PVC resins, increased capital on March 11, 2002 to boost production. The Company accepted a portion of the new share issue, giving it a 19% equity stake in the company. Saisei Ltd. will become a public company after the capital increase, and its capital will increase to 10.5 million yen. The Company plans to focus on the recycle business as an important part of its overall eco-business strategy.
